These Terms & Conditions ("Terms") govern your engagement with TechBias Innovations. By using our website, services, or deliverables, you agree to comply with the following terms. If you do not agree, you should not use our services.

1. Service Engagement

TechBias Innovations provides digital product development, UI/UX design, and technology solutions. Scope of work, deliverables, and timelines will be defined in the project agreement or proposal. Any work outside the defined scope will be considered additional and may attract extra costs.

2. Payment & Settlements

• All invoices must be paid within the agreed timelines.
• No handover, deployment, or transfer of code/data will be made until all pending settlements are cleared.
• Any delay in payment beyond the due date may attract suspension of services until settlement.
• Maintenance dues (if applicable) must be cleared to continue receiving ongoing support.

3. Deliverables & Handover

TechBias Innovations will provide deliverables as per the agreed scope. However:
• Final handover of source code, credentials, or deployment will only occur after 100% payment clearance.
• In case of non-payment, TechBias Innovations reserves the right to withhold or rollback any deployment without liability.

4. Maintenance & Support

Post-deployment support and maintenance are covered only if agreed in the contract. Any unpaid dues or gaps in settlement will immediately suspend maintenance obligations from our side.

5. Client Responsibilities

The client must provide timely inputs, approvals, and necessary access for the smooth execution of the project. Delays from the client's side may extend timelines and are not the responsibility of TechBias Innovations.

4. Intellectual Property Rights

All content, features, and functionality of our services are the exclusive property of TechBias Innovations and are protected by intellectual property laws. You retain all rights to content you provide to us, granting us a license to use it solely for providing our services. All deliverables become client property upon full payment, except for pre-existing intellectual property.

5. Payment Terms

You agree to pay all fees associated with the services you purchase from us. Fees are non-refundable except as required by law. Payment terms and schedules will be outlined in individual service agreements. Late payments may incur additional charges. You are responsible for all applicable taxes.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the business relationship. This obligation survives the termination of these Terms.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, except as expressly provided, our services are provided "as is" without warranty of any kind. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, TechBias Innovations shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount paid by you to us in the twelve months preceding the claim.

9. Project Specifications and Changes

The specific scope of work for each project will be defined in a separate statement of work. Any changes to the agreed scope must be approved in writing by both parties and may result in additional fees. You agree to provide timely feedback and necessary resources to enable us to perform our services effectively.

10. Termination

Either party may terminate the engagement with prior written notice. In the event of termination, all pending dues must be settled immediately before any handover. Provisions relating to intellectual property, confidentiality, and limitations of liability shall survive termination.

11. Governing Law

These Terms shall be governed by and construed under the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Rajasthan, India.

12. General Provisions

These Terms constitute the entire agreement between you and TechBias Innovations. If any provision is found invalid, the remaining provisions shall continue in effect. We may assign our rights under these Terms without restriction. You may not assign your rights without our prior written consent.
